Section 01 — Scope; B2B-Only Eligibility
Access to our website, quotations, accounts, and purchases are limited to authorized business entities and institutional representatives operating professionally within the United States.
- Buyer must be at least 21 years old
- Must represent a business or institution
- Products must only be used for research purposes
We may request EIN verification, institutional credentials, business documents, licenses, or resale certifications before approving purchases.
We currently ship only within the United States.
Section 02 — Acceptance of Terms
By accessing the website or placing an order, you agree to these Terms & Conditions.
Continued use of the website after updates constitutes acceptance of revised Terms.
Section 03 — Definitions
- Products: Research materials and laboratory reagents.
- Documentation: COA, SDS/MSDS, specifications, and technical documents.
- Nonconforming Products: Incorrect or defective items.
Section 04 — Buyer Representations & Responsible Use
- Products are for research use only (RUO)
- Not for human or animal use
- Handled only by qualified personnel
- No consumer resale permitted
- No relabeling or misbranding allowed
Section 05 — Website & Content License
Buyer receives a limited non-transferable license to access the website and related documentation strictly for internal business research purposes.
Section 06 — Quotes, Pricing, Taxes & Purchase Orders
- Quotes valid for 30 days unless stated otherwise
- Prices exclude taxes and shipping
- Tax exemption certificates required where applicable
Section 07 — Payment Terms & Chargebacks
- Approved accounts may receive Net 30 terms
- Late invoices may accrue interest
- Improper chargebacks may result in suspension
Section 08 — Shipping & Delivery
- FOB / FCA Origin shipping terms apply
- Risk transfers to Buyer upon carrier handoff
- Delivery dates are estimates only
- Claims must be filed within 14 days
Section 09 — Returns & Replacements
- All sales final except for nonconforming products
- RMA required before any return
- Orders cannot be canceled once fulfilled
Section 10 — Specifications, COA & SDS
Products materially conform to current specifications and Certificates of Analysis at shipment.
Section 11 — Warranty & Liability
- Products provided “AS IS” unless otherwise stated
- No warranty for therapeutic or diagnostic use
- Liability limited to purchase price paid
- No indirect damages covered
Section 12 — Anti-Diversion & Traceability
Buyers must maintain traceability records and cooperate in recalls or field actions if required.
Section 13 — Export Controls & Anti-Corruption
Buyer agrees to comply with all applicable export laws, sanctions, and anti-bribery regulations.
Section 14 — Confidentiality
Non-public pricing, quotes, and proprietary documents are confidential and may not be disclosed.
Section 15 — Force Majeure
We are not liable for delays caused by events beyond reasonable control including natural disasters, shortages, or transportation disruptions.
Section 16 — Dispute Resolution
- Disputes resolved through binding arbitration
- Venue: Miami-Dade County, Florida
- Class action lawsuits waived
Section 17 — Termination & Suspension
Accounts may be suspended or terminated for fraud, non-compliance, or unpaid balances.
Section 18 — Privacy & Data Protection
Business contact data may be processed to support operations, logistics, and order fulfillment.
Section 19 — Electronic Communications
Buyer consents to receive notices and communications electronically.
Section 20 — Miscellaneous
- Invalid provisions do not affect remaining Terms
- Failure to enforce rights is not a waiver
- These Terms constitute the entire agreement
Section 21 — Marketing Restrictions
Buyer may not use company trademarks, logos, or branding without written permission.
